Star Mountain is seeking a General Counsel who can maintain strong oversight over many compliance functions.
Responsibilities
- Primarily responsible to provide legal support and compliance oversight for all aspects of Star Mountain Capital's private credit asset-based lending and investment platform
- Provide legal support and advice across private funds, BDCs, segregated account mandates, carried interest vehicles and other products that relate to alternatives strategies
- Advise the business on a wide range of legal issues relevant to the formation and maintenance of fund products, including negotiation of side letters, legal and regulatory matters as they relate to funds and separately managed accounts, as well as transactional work for such products
- Direct involvement in, and legal support for, all workouts, restructurings, forbearances, foreclosures, and portfolio related litigation matters
- Coordinate and manage outside counsel, including management of legal costs; maintain relationships with outside counsel and oversee the internal approval of all legal counsel
- Creating new entities and managing organization's intellectual property
- Responsible for implementing policies and procedures for Star Mountain Capital, with a specific emphasis on the Investment Advisers Act, the Investment Company Act, FINRA and related rules and regulations
- Review, analyze and respond to regulatory inquiries, including relating to the SEC and FINRA
- Review marketing materials, including advertising, sales literature, correspondence, and RFP/RFI/DDQs
Qualifications
- 10+ years of legal and compliance experience working at a minimum of $5BN AUM firm that has multiple private alternative investment strategies (e.g., private credit, private equity and/or secondaries / fund investments)
- Must have experience overseeing regulated funds 40 act private or public BDCs
- Juris Doctor degree (or equivalent), and membership in good standing with the New York state bar (or ability to waive into New York)
- Experience dealing with SEC and FINRA regulatory changes and policy implementations relating to such changes
- Team player with a great attitude
- Willingness to learn new areas of law to cover other businesses and investment initiatives
- Excellent verbal and written communication skills
